Policies and regulations related to responsible business practices
Jinpao adheres to the Company Law, Securities and Exchange Law, Commercial Accounting Law, relevant regulations for listing and over-the-counter transactions, and responsible business conduct. To implement a corporate culture of integrity and honesty and to meet the expectations of investors and other stakeholders, the Board of Directors has adopted and promulgated the "The Practice of Corporate Social Responsibility" and the "Code of Ethic Practice" which detail the company's policies, guidelines, operating procedures, code of conduct, and related complaint systems. Employees and business partners are required to comply with these regulations when conducting business to prevent dishonest behavior. The company aims to cultivate a culture of integrity and accountability, and to embody commitment to the highest ethical standards in all business activities.
We will continue to track changes in domestic and international regulations to assess their potential risks and impacts on the company, and review whether there are corresponding internal regulations based on the results of the regulatory assessment to ensure that the company's policies and regulations are appropriate and adequate.
Each policy commitment is first proposed and drafted by the relevant department, then optimized and discussed by the Managing Director Office, and finally submitted to the Board of Directors for review and approval before being published. The policy commitments apply to the overall operations of the company, its subsidiaries, and business partners (including suppliers).
To integrate its responsible business practices into daily operations, Jingbao established a Sustainability Committee in 2024 and set up an ESG Promotion Office, which oversees three working groups: Corporate Governance, Social Responsibility, and Environmental Sustainability. The Sustainability Committee holds at least two meetings annually to establish annual sustainability policies and commitments related to responsible business practices, and to review the implementation of these policies.
To ensure employees understand and implement the company's policy commitments, ethical business practices, and professional ethics, the Human Resources Department periodically disseminates information through internal emails and the Jinpao Quarterly to enhance employees' awareness of professional ethics, integrity, and regulatory compliance. In addition to publishing relevant operating procedures on the company's intranet for easy reference, annual training programs reinforce employees' adherence to the company's core values and systems. Any behavior that may violate professional ethics will be handled with a zero-tolerance approach; violators will be subject to disciplinary action according to company regulations, and legal action will be taken as appropriate.
Mechanisms for Seeking Advice and Raising Concerns:
Jinpao has an Audit Department responsible for the overall formulation, supervision, and implementation of the company's responsible business conduct policies and regulations, as well as the investigation and handling of whistleblower cases. It reports to the Board of Directors and the Audit Committee at least once a year on matters such as professional ethics, regulatory compliance, and whistleblower incidents. To enhance the company's governance oversight function, relevant consultation and whistleblower channels are established both internally and externally. The Human Resources Department informs employees and other stakeholders of these channels through annual training programs, internal emails, and the company website.
Upon receiving a whistleblowing report, Jinpao immediately assigns the responsible unit to investigate based on the nature of the case and properly records and tracks the progress. The identity of the whistleblower, the content of the report, and the participation of those in the investigation are kept confidential to prevent unfair treatment or retaliation. For cases to be confirmed to be true, measures will be taken depending on the circumstances, including termination of employment contracts or business dealings and necessary legal action. Furthermore, in addition to promoting the concept of honest business practices during new employee onboarding and in regular on-the-job training courses, the company also periodically conveys this concept through the company's quarterly magazine, internal website, and public discussions.
